Terms of Service

Sontairo is a software service operated by Menchist Holdings ("Sontairo," "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of the Sontairo website, applications, APIs, dashboards, agents, integrations, and related services (collectively, the "Service").

If you use the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

You must be legally able to enter into a binding agreement to use the Service. You are responsible for maintaining the confidentiality of your account credentials, for all activities that occur under your account, and for ensuring that information associated with your account remains accurate.

You may not share account access in a manner that bypasses plan limits, workspace permissions, or security controls. We may suspend or restrict access if we reasonably believe an account has been compromised or is being used in violation of these Terms.

Sontairo provides tools for building, managing, and operating AI agents, workflows, automations, integrations, and related business operations. Features may change over time, and some functionality may rely on third-party providers, models, APIs, payment processors, or integrations that are outside our direct control.

We may add, modify, suspend, or discontinue parts of the Service at any time. We will use commercially reasonable efforts to avoid materially harmful changes without notice, but we do not guarantee uninterrupted availability of every feature.

Paid features may require a subscription or other purchase. By purchasing a paid plan, you authorize us and our payment processors to charge applicable fees, taxes, and recurring amounts in accordance with the pricing and billing terms presented to you at checkout.

Unless otherwise stated in a separate written agreement, fees are non-refundable except where required by law. We may change pricing, packaging, included usage, or plan structure prospectively. Continued use of the applicable paid Service after a pricing change becomes effective constitutes acceptance of the updated pricing.

Certain plans may include usage allowances, provider credits, account credits, or similar balances. Those balances may expire, reset, or be limited by plan terms, provider rules, fraud controls, abuse prevention, or technical constraints.

Amounts you pay for a Sontairo subscription or other Service fees apply only to the Service described in your order or checkout and do not constitute a credit, deposit, retainer, or offset against any other amount you may owe for unrelated services. For example, recurring payments for a plan such as Pro do not reduce, satisfy, or apply toward an invoice for separate professional services (such as custom development, design, consulting, or a website build) unless we expressly agree otherwise in a separate written agreement that identifies the services and the allocation of fees.

For external or professional services that we offer outside the standard software subscription (including without limitation custom website builds, server or infrastructure configuration, consulting, design, or similar project-based work described in a quote, statement of work, or other written agreement), once we send you an invoice for those services, you are obligated to pay the full invoiced amount in accordance with the payment terms stated on the invoice. Unless we have expressly agreed otherwise in a signed writing issued before that invoice, our sending of the invoice constitutes our position that the agreed scope of work has been completed and that you were satisfied with the deliverables; you may not withhold, offset, or reduce payment on that basis unless a separate written agreement signed by an authorized representative of Menchist Holdings expressly allows it.

You retain whatever rights you already have in the prompts, messages, files, connector data, configurations, workflows, and other content you submit to the Service (collectively, "Customer Content"). You grant us a non-exclusive, worldwide, limited license to host, store, process, transmit, display, and otherwise use Customer Content solely as necessary to provide, secure, maintain, support, and improve the Service.

You are responsible for ensuring that you have all rights, permissions, and legal bases necessary to submit Customer Content to the Service and to instruct the Service to process data from third-party systems. You are also responsible for reviewing outputs generated by AI models or automations before relying on them in operational, legal, financial, compliance, or other sensitive contexts.

If you embed the optional website support widget on your properties, end visitors' browsers may send a stable project-scoped identifier, a cryptographic hash of coarse device signals (such as user agent, locale, and screen characteristics), and a one-way hash of IP addresses to help restore chat continuity when local storage is cleared. Those signals are used for continuity and abuse prevention within the Service, not for third-party advertising profiles.

The Service may route requests to or rely on third-party providers, including model providers, payment processors, authentication providers, communications tools, voice systems, and connector platforms. Your use of those third-party services may be subject to their own terms, policies, rate limits, availability constraints, and technical requirements.

Some AI features made available through the Service, including features included in your subscription or otherwise presented as built-in functionality, may still depend on third-party models, model hosts, or related AI infrastructure. Unless we expressly state otherwise in a separate written agreement, Menchist Holdings and Sontairo are not the developer, manufacturer, trainer, or publisher of those underlying third-party AI systems merely because they are accessible through the Service.

We are not responsible for downtime, errors, content, data handling, feature changes, suspensions, or business decisions made by third-party providers. If you connect external services or bring your own provider credentials, you authorize us to act on your instructions to exchange data with those services.

When you enable connectors, automations, or AI-driven actions, those integrations may create, modify, send, move, overwrite, suppress, or delete data or communications in third-party systems based on your configuration, prompts, approvals, bypasses, or other instructions. You are responsible for maintaining appropriate backups, versioning, retention controls, review procedures, and operational safeguards for any connected third-party system.

To the maximum extent permitted by law, Menchist Holdings and Sontairo are not responsible for connector-side destruction, corruption, duplication, transmission, suppression, overwriting, or loss of data, records, messages, schedules, tickets, files, customer information, or other content occurring in external systems, including where such outcomes result from model mistakes, automation errors, configuration choices, bypassed safeguards, third-party API behavior, or your own instructions.

You may not use the Service to:

• violate applicable law or the rights of others;
• send malware, interfere with networks, or attempt unauthorized access;
• abuse, overload, scrape, reverse engineer, or probe the Service except as expressly allowed by law;
• generate or distribute unlawful, infringing, deceptive, harmful, or abusive content through the Service;
• misrepresent your identity, affiliation, authority, or relationship with Sontairo or Menchist Holdings;
• use the Service in a way that bypasses plan restrictions, approval controls, workspace permissions, or billing rules.

From time to time, Sontairo may offer a private referral or affiliate program. Participation in any such program is optional and may require acceptance of a separate Affiliate Agreement before enrollment.

The Affiliate Agreement controls affiliate-specific rights, restrictions, commission eligibility, payout timing, reversals, withholding, and program termination. These Terms continue to apply to your use of the Service generally.

Affiliate or referral activity does not create or entitle you to any stock, equity, profit-sharing, revenue-sharing, partnership, joint venture, employment, agency, franchise, fiduciary status, governance rights, voting rights, board rights, approval rights, or any other ownership or control interest in Sontairo, Menchist Holdings, or any related business.

We may suspend, limit, or terminate your access to the Service if we reasonably believe you have violated these Terms, created security or legal risk, failed to pay applicable fees, abused system resources, or used the Service in a way that may harm us, other users, or third parties.

You may stop using the Service at any time. Termination does not relieve you of obligations accrued before termination, including payment obligations and restrictions that are intended to survive.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENCHIST HOLDINGS, SONTAIRO, AND THEIR AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR ACCURATE.

AI-generated outputs, automation results, summaries, classifications, recommendations, and third-party integration results may be incomplete, incorrect, delayed, or unsuitable for your use case. You are responsible for human review and independent verification where appropriate. The Service does not constitute legal, financial, tax, compliance, security, employment, or other professional advice.

The inclusion of AI functionality in the Service does not mean Menchist Holdings or Sontairo developed the underlying model technology or assumes responsibility as the developer of that technology. Included AI usage remains subject to the same disclaimers, and we do not warrant or guarantee the reasoning, decisions, outputs, actions, or safety of any underlying model or AI system made available through the Service.

Without limiting the foregoing, we do not warrant that AI agents, chat assistants, connector tools, automations, or approved or bypassed actions will preserve revenue, prevent business loss, avoid operational mistakes, protect data integrity, or produce commercially beneficial outcomes. You assume the risk of using AI or automation in live business environments.

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Menchist Holdings, Sontairo, and their affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your Customer Content, your integrations, your referral or affiliate activities, your violation of these Terms, or your violation of applicable law or the rights of another person or entity.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENCHIST HOLDINGS, SONTAIRO, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR SUBSTITUTE TECHNOLOGY COSTS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). YOUR EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING IT.

Without limitation, Menchist Holdings and Sontairo are not liable as the developer, manufacturer, or publisher of third-party underlying AI models, engines, or systems that may power included AI features or other functionality within the Service, and making those systems available through the Service does not create any separate assumption of liability for their decisions, actions, outputs, failures, or omissions.

This limitation applies, without limitation, to claims based on AI mistakes, hallucinations, missed tasks, bad recommendations, connector-side changes, destructive actions in third-party systems, failed automations, data loss, missed communications, lost customers, lost deals, lost profits, lost revenue, operational downtime, or any decision made or not made by you, your users, or your agents in reliance on the Service.

If the Service offers approvals, confirmations, warnings, or safeguard checkpoints and you or your users approve, override, bypass, or otherwise proceed with a warned action, you assume full responsibility for the consequences of that decision. Any such override or bypass is treated as your express instruction to proceed at your own risk.

To the maximum extent permitted by law, any claim or cause of action arising out of or relating to the Service or these Terms must be brought in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, representative, or collective proceeding.

To the maximum extent permitted by law, you waive any right to a jury trial for disputes arising out of or relating to the Service or these Terms.

Any claim arising out of or relating to the Service or these Terms must be filed within one (1) year after the cause of action arose, or the claim is permanently barred, to the extent permitted by applicable law.

These Terms and any dispute arising out of or relating to the Service or these Terms are governed by the laws of the State of Florida and the laws of the United States applicable therein, without regard to conflict-of-laws principles.

You and Menchist Holdings agree to the exclusive jurisdiction and venue of the state or federal courts located in Tampa, Florida for any dispute that is not otherwise required to be resolved elsewhere by applicable law.

We may update these Terms from time to time. If we make a material change, we may provide notice through the Service, by email, or by other reasonable means. Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
